We consulted OSCR regarding the situation surrounding our pending AGM. You can find the original query in the attached email. OSCR acknowledged our inquiry and informed us that they would provide a response within 15 days.
In the meantime, we contacted the OSCR office by phone for further clarification. During the call, they advised us to reach out to our local support body, EVOC, for guidance on the matter.
Following this advice, we wrote to EVOC and subsequently received a phone call from Mr. Robert Scott. We had an in-depth discussion with him about the AGM issue. His professional opinion was that, if the AGM has not been held for some time and there is an urgent need to proceed, it would be appropriate to conduct the AGM using the previous year’s membership list. He later confirmed this advice in writing, as shown in the attached email.
In parallel, we also sought legal advice from an independent lawyer to ensure we were acting in full compliance with governance requirements. The lawyer reviewed the situation and also gave us a clear go-ahead to proceed with the AGM in February.
Eventually, we received a formal response from OSCR after the 15-day period had passed. Although their reply was delayed, they confirmed their agreement with the position taken by both EVOC and the independent legal advisor.
